COUNTRY CROSSING AT SPRING RIDGE HOMEOWNERS ASSOCIATION. INC.
TRANSITION MEETING

FRIDAY. OCTOBER 28.2003 7:00 P.M.

The Transition Meeting of the Country Crossing Homeowners Association was held October 28, 2003 at the Apopka Elementary School. Affidavit of mailing was provided by Sentry Management.

The meeting was called to order by Max Suter Director/Developer at 7:30 p.m

Certification Of Quorum

Vallery Harrison announced that the quorum requirement as per the documents for the Association had been obtained by presence of 93 homeowners by person or proxy.

Max Suter explained that the purpose of the meeting was to turn control of the Association over to the unit owners. In order for this to happen the unit owners would need to elect a Board of Directors. For this part of the meeting Max Suter turned control of the meeting over to Vallery Harrison.

Vallery Harrison explained that the Board would consist of five directors. After the five directors are elected then the five directors would elect the Officers from among themselves. She also explained that the documents provided for the board to serve staggered terms. The terms would be three years, two years and one year. The terms would be decided by the votes received. The terms will start with the three year positions given to the candidate receiving the most votes, and would proceed down to the candidate receiving the least votes being given the one year term.

The floor was then opened for nominations. The nominations were as follows:

A motion was made and seconded to close the nominations. All in favor. None opposed. The nominations were closed.

Each candidate was then given the chance to address the audience

Vallery Harrison asked for three volunteers to collect and count the ballots. She explained that the volunteers could not be related to the candidates. The volunteers were as follows:

After the ballots were collected and tabulated, the floor was open for general discussion. There were no motions or resolutions made during this section of the meeting.

Vallery Harrison announced the results of the election. The results were as follows:

Jim Pearson       2 year term

Scott Parker      2 year term

Lisa Schilling     1 year term
